Subject : Notification of the Progress of Debenture Issuance under the Shelf Filing Project Baht 2,000 Million

Reference is made to Pruksa Real Estate Public Company Limited ("the company")'s Resolution of 2008 Annual General Meeting of Shareholders held on 11 April 2008 which has resolved the approval of the Company's sale and issuance of debt instrument under the Shelf Filing Project amounting to not exceeding Baht 2,000 million within 3 years

The company is pleased to inform that, on 20th January 2009, the Stock Exchange Commission has approved the sale of THB debenture in which the detail is as follows :

Issuer : Preuksa Real Estate Public Company Limited
Name of Debentures : the "Debentures of Preuksa Real Estate Public Company Limited No. 1/2009 due 2012"
Types of Debentures : Unsecured and Unsubordinated Debentures with a Debentureholders' Representative
Underwriter : Kasikornbank Public Company Limited
Total Issue Size : Not exceeding 1,500,000 units (one million five hundred thousand units)
Total Issue Amount : Not exceeding THB 1,500,000,000 (one point five billion baht)
Face Value : THB 1,000 (one thousand baht) per unit
Offering Price per Unit : THB 1,000 (one thousand bath) per unit
Redemption Price per Unit : THB 1,000 (one thousand baht) per unit
Tenors : 3 years from the Issue Date
Issue Date : 29 January 2009
Maturity Date : 29 January 2012
Collateral : None
Coupon : 5.25 % per annum for the period of 1 year and 6 months after the issuance date and 5.75% per annum for the remaining period until the maturity date
Principal Repayment : Bullet repayment on the Maturity Date
Coupon Payment : Interest shall be payable quarterly and shall be paid on January 29, April 29, July 29, and October 29 of each year throughout the term of the Debentures. The first coupon payment shall be paid on 29 April 2009
Redemption of the Debenture : The Issuer will redeem by the making a bullet repayment for all the principal Debentures amount of the Debentures on the Maturity Date together with interest accrued thereon up to (but excluding) the Maturity Date.
