Business Ethics
1. Upholding of Business Ethics
Employees are to comply with the Code of Ethics with full understanding, acceptance and faith. They shall exert care and avoid carrying out any activities which would be in contravention of the Code of Ethics. In any doubts, queries shall be made with their supervisors and/or the Human Resources Department. Any violation or non-compliance with the Code of Ethics and the Company’s Regulations will be subjected to disciplinary measures. Where an employee knows of other employee’s action which s/he is certain constitutes a violation of the Code of Ethics, s/he shall report the matter to the Committee of Supervision on Good Conduct via the Committee’s Secretary for further consideration and instruction.
Committee of Supervision on Good Conduct
Takes charge for preparation of the Code of Ethics Manual and regularly updates it at least once every two years as well as accepting complaints and carries out evaluation on ethical compliance.
Executives at every level
Have the duties to:
- Promote others to comply with the Code of Ethics while conducting themselves as exemplary models to others.
- Convey policy guidelines on the method of work as well as opening a wide avenue to listen to opinion expressed concerning compliance with the Code of Ethics.
- Train employees on being responsible and arrange to have a management system in place which keeps in line with provisions of the law and the Company’s regulations.
- Supervise and oversee activities of various units to ensure that they are in line with various relevant rules and regulations.
Department of Human Resources or Work Units In Charge of Personnel Affairs
It is their duties to give employees pertinent explanation concerning their duty to comply with the Code of Ethics.
Internal Inspection Department
It is their duty to carry out preliminary review of information in a case where it can be reasonably believed that a case of violation of the rules and the Code of Ethics may have arisen and to report its findings to the Committee of Supervision on Good Conduct.

2. Compliance with the law and the Company’s Rules and Regulations
Every executive and employee shall comply with the law and various regulations set by the authorities as well as with the Company’s rules and regulations. They shall avoid action/participation in any activities which are illegal or which contravene the public peace or good morale. Any use of the Company’s employees or properties for unlawful purposes are strictly prohibited.
- 2.1 The Law and the Company’s Rules and Regulations.
- 2.1.1 Executives and employees shall carry out their work properly and completely in accordance with the law and the Company’s Rules and Regulations.
- 2.1.2 Any violation of the law, resolution(s) adopted by shareholders or the Board, the Company’s Charter, rules or orders on the ground that such are undertaken in the interest of generating increased profits for the Company or any other reasons may not be upheld as justification for such violation.
- 2.1.3 Executives and employees are to discharge their duties with honesty/integrity by taking into account the Company’s lawful interests even though there may be loopholes in the law or the Company’s Charter, rules or orders.
- 2.2 Laws governing securities and disclosure of inside information.
- 2.2.1 Executives and employees are to strictly comply with regulations prescribed by the Stock Exchange of Thailand, the Office of Securities and Exchange Commission and relevant laws including those on disclosure of information on an equal footing to shareholders and/or the public.
- 2.2.2 Use of inside information which has not been disclosed as yet to the public or shareholders in general for the purpose of securities trading in their own interests will be considered a contravention of the Company’s Code of Ethics.
- 2.2.3 Disclosure of information with an impact on business operations and share prices must receive the approval of the Managing Director who will take pertinent action or assign any one to take charge of the matter concerning such information.
- 2.2.4 Central Work Units assigned to provide information to the public and investors will be the Public Relations Department and the Investors Relations Department, while other work unit(s) which owns such information has the duty to provide relevant support for such information.
- 2.3 Exercise of Political Rights
- 2.3.1 The Company supports its executives and employees to exercise their lawful rights as citizens pursuant to the Constitution and the law.
- 2.3.2 Executives and employees are not permitted to use Company’s properties or resources, either directly or indirectly, in the interest of any political party or any particular group.

3. Business Ethics
Over and above their compliance with the law, every executive and employee shall discharge their duties in accordance with the ethical concept as the Company considers such business ethics as its very valuable assets.
- 3.1 Responsibilities to shareholders
- 3.1.1 Every executive and employee must be determined to build up prosperity on the potential or true capacity to ensure that shareholders receive stable returns as the result of the Company’s efficacious operations and good operating results.
- 3.1.2 Every executive and employee must respect the rights of shareholders to receive, on an equal footing, such information/data which are necessary for their evaluation of the Company’s standing. Such operating results and financial standing as well as correct and actual supporting information must be provided as prescribed by the Stock Exchange of Thailand and the Office of Securities and Exchange Commission.
- 3.1.3 All shareholders must be treated on an equal footing at meetings of shareholders.
- 3.2 Protection of the Company’s properties
- 3.2.1 Company properties mean movable and immovable properties, Technology, technical knowledge/skills, data, rights, copyrights right through to any of the Company’s resources or those to which it holds entitlement to.
- 3.2.2 It is the duty and responsibility of every executive and employee to use the Company’s properties economically and in the Company’s best interests and to take care to ensure that they do not become deleterious or lost.
- 3.2.3 As for the various data and business documents which constitute the Company’s major properties, a deadline must be set by each work unit and division for them to be maintained, classification of confidentiality and to keep such documents correctly and completely with ready accessibility for inspection.
- 3.2.4 Every executive and employee must carefully and honestly prepare documents pertaining to businesses, accounting and financial matters as well as the various reports to be submitted to the authorities and all other entities. They must be recorded in accordance with the Company’s accounting methods in line with the prescribed standards.
- 3.3 Computerized System and Communications
- 3.3.1 Electronic communications
- All electronic communications are the Company’s property.
- Care must be exerted by every executive and employee in their disclosure of information by electronic means. Confidential information must also be coded.
- Every executive and employee should not use electronic communications for their own interests. They should avoid sending out chain e-mails or communications of any form which would cause the Company to suffer disrepute and are prohibited to send out any message or contents which are illegal or is against the Society’s good morale.
- 3.3.2 The Internet
- The Company encourages the use of Internet services for the conduct of businesses and as a tool for knowledge by taking the Company’s interests into its main consideration.
- Every executive and employee must avoid websites which break the law or violate good morale principles and refrain from disseminating such information or websites to others.
- The IT Department should be consulted in any case of doubt as to which website is illegal or violates good morale principles.
- 3.3.3 Data/Information Accessibility.
- Only duly authorized executive(s) and employee(s) may access data files notwithstanding if they are kept in the form of electronic files or others.
- Non-authorized executive(s) and employee(s) may not access, duplicate, disseminate, delete, destroy or change any data or change their password or carry out any action which will give rise to damages.
- 3.3.4 Use of Telecommunications Media.
- The Company has made available telecommunications equipment such as telephones, facsimile machines, cellular phones, radio-paging equipment, etc. in the interest of businesses. They may be reasonably used for personal work.
- 3.3.5 Use of Software
- Every executive and employee who uses the computer must sign their names to signify their agreement not to bring illegal software for use.
- 3.4 Conflict of Interests

- 3.4.2 During the course of their employ and after termination, information which constitutes the Company’s secrets may not be disclosed by any executive or employee in the interest of any entity, notwithstanding if such are electronics data, financial information, data on operations, business data, the Company’s future plans or others.
- 3.4.3 If an executive or employee is a director or advisor in any company, organization or other business association, such of his/her activities, however, must not be a conflict of interests or a conflict against his/her direct discharge of duties.
- 3.4.4 The Managing Director must be notified in writing where an executive, employee or any member of their families participate in or become shareholders of any business operation in which their interests may be in conflict with or cause conflict with the Company’s businesses.
- 3.4.5 Executives and employees are not to borrow money from trading partners in which the Company conducts businesses with except for financial institutions as such may have an influence on their discharge of duties as the Company’s representatives.
- 3.4.6 No payment of money or by means of the Company’s properties may be made by any executive or employee without authorization from the authorized party.
- 3.4.7 All executives and employees must devote themselves and their time fully to the Company’s affairs. Where it is necessary to conduct other work outside office hours in order to supplement their income or for any other purpose, such of their work must be in the following forms:
- They are not illegal or breach the public peace and good morale.
- They are not in conflict with the Company’s interests.
- They will not cause any disrepute to the Company’s name or operations.
- They will not cause the Company’s secrets to be used.
- They will not affect work in the employee’s line of duty.
- 3.5 Relationship with Customers
- 3.6 Relationship with Trading Partners
- 3.6.1 The Company intends to ensure that its supply of goods and services are of good standards under the following basis:
- Competition based on equal access to information
- Criteria set concerning evaluation and selection of trading partners and contractual parties.
- Appropriate form of contracts.
- Management and follow-up systems in place to ensure full compliance with the terms of agreement and to prevent dishonest and unlawful acts at every stage of supply/procurement process.
- Punctual payments to trading partners and contractual parties pursuant to the terms of agreement reached between them.
- 3.6.2 The Company intends to develop and preserve lasting relationships with its trading partners and contractual parties who have clear objectives on the matter of quality of cost-effective goods and services, technical qualities as well as trust towards one another.
- 3.6.3 All executives and employees are prohibited from receiving any personal benefits from trading partners or contractual parties.
- 3.7 Giving and receiving bribes.
- 3.7.1 Executives and employees shall not demand or receive any interest or properties which are likely to induce them to unlawfully carry out acts or avoiding any discharge of duties which
- would cause the Company to lose was is lawfully due to it. 3.7.2 Executives and employees should refrain from offering or giving any interests or payments to third parties in order to induce them to do or avoid things which are unlawful or which are not fitting to their positions.
- 3.8 Gifts or business entertainments
- 3.8.1 Executives and employees should avoid giving or receiving any thing or benefits from trading partners or those involved with the Company’s businesses unless such are made during a festive season or according to traditional practice and for an appropriate value. In this respect, the recipient of such should consider consulting the Committee of Supervision of Good Conduct for its advice, where appropriate.
- 3.8.2 If any executive or employee receives a gift in the form of money or things which are considered to be worth more than Baht 3,000 or any inappropriate sum, s/he shall inform the Internal Audit Department and to return them or take action as considered appropriate.
- 3.8.3 Executives and employees should avoid giving or receiving entertainment in a form which is beyond the norm of normal relationships from other parties with businesses related to the Company’s operations.
The Company will strictly comply with the terms of business with its clients and will ensure that its goods and services are of quality standards and trustworthy.
